
Colourful People is seeking a chairperson and two members for the Supervisory Board of the Eindhoven Culture Foundation. As a fund, expert, and connector, Eindhoven Culture works to build a strong cultural ecosystem with a rich and diverse range of offerings for all residents of Eindhoven. The Eindhoven Culture Foundation is responsible for implementing the cultural policy of the municipality of Eindhoven. On behalf of the municipality, Cultuur Eindhoven makes funds available through a basic infrastructure scheme as well as through a scheme for cultural programs and projects. The Supervisory Board serves as a sparring partner and critical friend to the Executive Director, who strives to achieve the partnership’s objectives within a complex political and administrative environment. In accordance with the articles of incorporation, the Supervisory Board is tasked with overseeing the Board’s policy and the general course of affairs within the Foundation. The members of the Supervisory Board are appointed by the Municipal Executive of the City of Eindhoven upon the recommendation of the Eindhoven Culture Foundation (SCE).

The Foundation operates under a Supervisory Board model. The members of the Supervisory Board (RvT) are appointed by the Municipal Executive of Eindhoven upon nomination by the Eindhoven Culture Foundation (SCE). The Supervisory Board consists of a minimum of three and a maximum of five members. This number is stipulated in the articles of incorporation. The Supervisory Board determines the number of members. If the number of members falls below three, the Board remains competent. The director serves as the foundation’s executive director. The total number of full-time equivalents (FTEs) is 8. Terms of employment are set forth in the employment regulations, and compensation is in accordance with the municipal collective bargaining agreement. The guiding principle in defining the relationship is that the Eindhoven City Council is responsible for establishing cultural policy. The Mayor and Aldermen are the administrative clients of SCE and are represented by the alderman for culture. The head of the Economy and Culture (EC) department bears ultimate administrative responsibility for the commissioning of SCE.
We are seeking a chairperson, a member with a legal background, and a member with a financial background for the Supervisory Board of Cultuur Eindhoven.
The Supervisory Board serves as a sparring partner and critical friend to the Executive Director, who strives to achieve the partnership’s objectives within a complex political and administrative environment. In accordance with the Articles of Incorporation, the Supervisory Board is tasked with overseeing the Board of Directors’ policies and the general affairs of the Foundation. In fulfilling their duties, the members of the Supervisory Board act in the best interests of the Foundation, as set forth in Article 3 of the Articles of Incorporation. This includes (at a minimum) overseeing business continuity and the legality of the actions taken by the Foundation’s Board of Directors. The Supervisory Board will not be substantively involved in or supervise the tasks and powers vested in the Cultural Council, but will supervise the procedures followed. Members of the Supervisory Board are expected to participate actively and to make active use of the scope and breadth of their networks.

In accordance with SCE’s articles of incorporation, SCE strives to appoint individuals to its Supervisory Board who possess one or more of the following demonstrable and relevant areas of expertise and/or experience:

In general, the following factors are considered important for successfully fulfilling a role on the Supervisory Board:
Be able to view and assess facts and issues within a broader context by recognizing their connection to larger-scale topics. And be able to apply these insights to the work of SCE.
Be aware of social and political developments or other environmental factors. Respond to these developments in a supervisory and/or advisory capacity.
Be able to work collaboratively within the Council and, in doing so, provide and exercise advice and oversight as part of a team.
Be able to monitor SCE’s development and working methods in a constructively critical manner and provide feedback on them.
Be able to apply generally accepted societal, social, and ethical standards relevant to the position and to make judgments based on the SCE’s best interests, setting aside one’s own interests and those of others.
In the interest of integrity and independence, it is considered incompatible for members of the Board of Trustees to hold any other (part-time) position such that their membership on the Board of Trustees could lead to a conflict between that position and the interests of the foundation, or to an undesirable mingling of interests, or to the appearance of a potential conflict of interest. In any case, members of the Supervisory Board may not be directors or employees of an institution that receives (one-time or multi-year) grants from Cultuur Eindhoven, nor may they be employed by the municipality of Eindhoven. The members and the chair of the Supervisory Board do not receive any remuneration. However, there is an expense allowance for incurred expenses. The Supervisory Board meets regularly three to four times a year.
