TIAS School for Business and Society is the executive education business school of Tilburg University and Eindhoven University of Technology. With high ratings from participants, over 65 programs and personalized learning paths, 3,400 participants annually, and a network of over 20,000 alumni, TIAS is truly a top-ranked business school.

At this “business school for tomorrow’s leaders,” two interesting vacancies will open on the Supervisory Board as the terms of two of its members expire on January 1, 2024:

  • a board member with a legal background
  • board member with a background in digital transformation and IT

TIAS is specifically seeking board members with a growth and transformation mindset who identify with its DNA and ambition.

TIAS School for Business and Society

Leadership development and transformation are central to the programs offered by the TIAS School for Business and Society. The programs are designed for driven and ambitious leaders who want to develop a transformation mindset. They encourage a critical and curious approach that leads to knowledge and insights that have an impact on organizations and society. Business and Society is integrated into the programs through the TIAS Business and Society Competency Framework. The program designs are blended, utilizing a smart combination of interactive learning and teaching methods: online, on-site, and hybrid. The professors and faculty members have extensive experience in both academia and the professional world. The programs are internationally accredited and feature collaboration with experienced professionals from the Netherlands and abroad. The flexible approach ensures a good balance between work, personal life, and study. With up-to-date knowledge, challenging education, and a powerful network of participants, alumni, and top faculty, TIAS serves as an international hub for lifelong learning.

The Board of Directors

The Supervisory Board consists of six members. There are two committees within the Board: the Audit Committee and the Compensation Committee.

General requirements for a member of the Supervisory Board:

Each member of the Supervisory Board must be qualified to assess the policies, strategy, and performance of the executive management team and possess the specific expertise required for his or her role. A member of the Supervisory Board must have an affinity with the work and activities of TIAS, possess general administrative qualities and experience, demonstrate a balance between involvement and administrative detachment, and be capable of advising the executive management team and overseeing the performance of TIAS.

Specific requirements for the statutory auditor with a legal background:

  • has knowledge, experience, and insight into legal issues, including the application of laws and regulations, contract drafting, and compliance within a large public or private organization;
  • Is capable of fulfilling the compliance role within the Supervisory Board and is familiar with current developments in governance and risk (including knowledge of the Dutch Corporate Governance Code and the Code of Good Governance);
  • has knowledge of legal structures and partnerships and is able to assess and understand the legal implications of new developments and help translate them into the objectives and context of TIAS;
  • can think in terms of what the business school needs at a particular stage of its development, in terms of structure and leadership;
  • For example, you may be (or have been) a lawyer specializing in corporate law, or you may be (or have been) a partner at a major strategic consulting firm in the areas of compliance, corporate governance, and risk management;
  • has a relevant, functional network within this field.

This commissioner is appointed upon the recommendation of the Works Council.

Specific requirements for the board member with a background in digital transformation and ICT:

  • has up-to-date knowledge, proven experience, and insight into the value and applicability of digitization and ICT in value-driven, ambitious (knowledge) institutions;
  • understands the dilemmas and challenges this poses for the culture and organizational structure, and views them as opportunities;
  • is able, based on the aforementioned knowledge, experience, and insight, to serve as a sounding board for the executive management team regarding the role that digitization and ICT play in both the content of education and the manner in which it is delivered, as well as their role as prerequisites for sustainable, high-quality education;
  • is able to think in terms of scenarios with regard to the sustainable innovation the institution is pursuing, thereby keeping the organization on its toes;
  • may, for example, be (administratively) responsible for digitization, digital transformation, and IT in an organization of a certain size;
  • has a relevant, functional network within this field.

Compensation

When determining the remuneration of members of the Supervisory Board, the laws and regulations governing the compensation of senior executives in the (semi-)public sector and the Industry Code are taken into account. Members of the Supervisory Board receive an annual remuneration, which is adjusted annually for inflation.

Screening

TIAS will conduct a screening for conflicts of interest in accordance with the TIAS Articles of Association and the Code of Good Governance.
