The Supervisory Board of Univé Dichtbij is seeking a dedicated board member with expertise in HR, Transformation & Culture, who will also serve as chair of the Compensation Committee.

The Supervisory Board of Univé Dichtbij has three primary roles: (1) overseeing the management’s policies and the general course of business; (2) acting as an employer; and (3) serving in an advisory capacity. In fulfilling these roles, the Supervisory Board relies on two standing committees: the Audit & Risk Committee and the Compensation Committee.

The Supervisory Board currently consists of the following members:

  • Leen Paape (Chair, member of the Compensation Committee);
  • Ronald Voorn (Vice Chair, member of the ARC);
  • Tineke Zweed (member, chair of the Audit & Risk Committee);
  • Lidy Hartemink (member, Chair of the Compensation Committee).

In connection with Lidy Hartemink’s resignation effective December 17, 2022, the Supervisory Board is seeking a new member.

The Supervisory Board is seeking a fellow supervisory board member with proven knowledge and expertise in the fields of organizational science, change management, and stakeholder management, who also has a clear vision for applying these concepts (at an academic level of work and thinking).

The Supervisory Board of Univé Dichtbij is constantly evolving and is focusing on what is known as “new supervision,” in which the advisory role—rather than the traditional supervisory role—takes center stage. In this capacity, the Supervisory Board advises and encourages the Executive Board on matters such as the transformation process Univé Dichtbij is undergoing and the associated challenges. Ideally, the supervisory board member does not have a traditional insurance background, but has gained experience at companies with innovative, future-proof business models.

The Supervisory Board is committed to diversity. When candidates are equally qualified, the Supervisory Board therefore gives preference to a woman. The Supervisory Board also wishes to make room for younger members. Preferably, the supervisory board member should have 10 years of relevant work experience; however, given the strong profiles of the current supervisory board members, there is also room for a model in which a new supervisory board member is mentored by a current member for a certain period. Finally: you can’t be on edge all the time. A sense of humor and the ability to keep things in perspective are a plus.

Univé Dichtbij is supervised by DNB and the AFM. Before a supervisory board member is appointed by the Members’ Council, approval from these supervisory authorities is required. Information regarding the requirements that DNB and the AFM impose on a supervisory board member is set forth in the 2012 Policy Rule on Suitability.

Roles and Responsibilities at a Glance

A board member at Univé Dichtbij has several roles, each with its own set of responsibilities.

As a Board Member within the Univé Group:

  • As a supervisor, employer, and advisor within the dynamic Univé environment, you know how to strike the right balance between the interests of your own organization and the Univé Formula (and demonstrate “guts” in doing so).
  • Has a passion for Univé as an organization and the core values it represents.
  • Endorses the strategic direction of the Univé Formula and oversees the implementation of the Univé strategy within the organization.
  • Is proud of Univé’s cooperative philosophy and acts in accordance with it.

As a board member of your own organization:

  • Has an eye for value creation, the customer perspective, and the long-term interests of members in relation to short-term results and goals.
  • Find the right balance between monitoring “soft controls” and “hard controls.”
  • Take into account the organization’s lifecycle and the context in which it operates.
  • Has access to—and is connected to—the organization.
  • Takes the employees' perspective into account.
  • Is able to form an independent opinion regarding the assigned portfolio, to question directors critically on this matter, and to provide advice on it.

As a person (skills/(attitude/behavior))

  • Serves as an advisor to the board; understands the distinction between the roles of supervisory board member and board member.
  • Is capable of (self-)reflection and demonstrates the ability to grow and adapt.
  • Is reasonable in its desire for information; distinguishes between “need to know” and “nice to know.”
  • Has a curious and enterprising personality.
  • It is consistent and reliable.
  • Thinks, judges, and acts independently with regard to the board, their own organization, the Univé Formula, fellow supervisory board members, and their own role.

In relation to the Board (or Board member)

  • Invests in the relationship between the Supervisory Board and the Executive Board: helps them get to know each other, fosters mutual trust, and thereby creates the space needed for the advisory role.
  • Serves as a constructive sounding board for the board; fosters meaningful dialogue
  • Be able to outline a broad/strategic vision (rather than just going through a checklist).
  • Provides comfort and space for the driver, even in emergency situations.
  • Is able to identify and accept uncertainties.

In relation to the Members' Council

  • Builds a strong relationship of trust with the Members' Council.
  • Promotes transparency in the exchange of information among the Executive Board, the Supervisory Board, and the Members' Council.
  • Provides reassurance to the Members' Council regarding the protection of members' interests and careful decision-making.
  • As the Supervisory Board, it reports to the Members' Council.

The Supervisory Board expects candidates to familiarize themselves with the organization of Univé Dichtbij and is interested in hearing their observations.
