CODA is governed according to the Supervisory Board model, under which the Executive Director is responsible for strategy and management, while the Supervisory Board oversees strategic policy and general operations. The Supervisory Board advises the Executive Director and serves as a sounding board. In fulfilling its duties, the Supervisory Board focuses on the interests of the foundation, with CODA’s substantive mission and vision serving as the guiding principles and being endorsed by the Supervisory Board. The Governance Code for Culture serves as a guideline in this regard.
The Supervisory Board consists of a minimum of three and a maximum of five members, all of whom are generalists who together form a multidisciplinary team. The Board of Trustees meets six times a year. In addition, there are audit and compensation committee meetings, as well as openings and events to which you, as a supervisor, are invited. Naturally, all members are independent, objective, and free from any appearance of a conflict of interest or accountability to a constituency.
Due to the expiration of one member’s term and the upcoming departure of another member, we are seeking two members for CODA’s Supervisory Board. We strongly prefer to appoint one experienced member and one new member who is eager to develop their skills in the role of supervisor. The new members will each be assigned their own area of focus and/or serve on the compensation or audit committee. By contributing your time, knowledge, expertise, and attention, you will help oversee and promote CODA’s policies and overall operations.
