” Due to the expiration of the term of office of one of the current members of the Supervisory Board, we are seeking someone with the following specific areas of expertise:

The recruitment process for the new member of the supervisory board will be conducted in collaboration with the works council. The appointment will be made based on a binding recommendation from the works council.
Composition of the
In forming the Supervisory Board, the aim is to achieve a balanced representation in terms of personal characteristics (such as gender and ethnicity) and background (such as business, politics, academia, public administration, and civil society).
The board members have a strong reputation among stakeholders in Yuverta’s relevant field and, as a result, can easily provide access to relevant networks. There is a registry of relevant outside positions that the chair actively uses to prevent conflicts of interest.
Remuneration
The remuneration for a member of the supervisory board is €20,600, including travel expenses. This is in accordance with the Senior Executives’ Remuneration Act.
Overview of Procedures and Activities
Yuverta’s Supervisory Board was established on January 1, 2021. As a result, the full scope of the Supervisory Board’s activities has not yet been fully defined. The COVID-19 pandemic has also contributed to this situation.
The board operates on a collegial basis, bringing together members’ expertise and networks, and providing an opportunity to critically assess its own performance and thereby improve it. At the same time, there is a strong sense of loyalty to the Yuverta organization, coupled with a critical and independent stance. Membership on the supervisory board requires sufficient time and availability, even outside of regular meetings.
Meetings and Gatherings The Supervisory Board meets six times a year in full session with the Executive Board. These meetings are prepared during an agenda meeting between the chair of the Supervisory Board, the chair of the Executive Board, and the secretary. Members of the Supervisory Board are invited to propose topics for discussion.
The board includes a compensation committee, an audit committee, and an education and HRM committee. These committees meet separately with the relevant portfolio holder from the Executive Board. The results of these discussions are reported at the board of trustees meetings.
Relationship with Student, Parent, and Employee Representative Bodies at Yuverta
The Board of Trustees meets with the various student, parent, and employee representative bodies within Yuverta at least twice a year. These include the Central Student Council, the Central Parent Council, and the Works Council. The format of these meetings is still being developed.
The Supervisory Board intends to make regular working visits to Yuverta’s schools. These visits may be conducted by the Board as a whole, but individual Board members may also make working visits to specific units within Yuverta. Furthermore, the Board is considering how to structure discussions with external stakeholders, such as companies, professional organizations, and social institutions in the green sector.
